NOTICE:
On December 3, 2024, a federal district court judge issued a preliminary injunction blocking enforcement of the Corporate Transparency Act. That means FinCEN cannot charge penalties for failure to file a BOI Report, until and unless the injunction is lifted.
New law affects all small business owners
The Corporate Transparency Act, effective January 1, 2024, requires all new and existing legal entities, including LLCs and corporations, to file a Beneficial Ownership Information Report with the Financial Crimes Enforcement Network (FinCEN). A federal judge blocked enforcement of the CTA on December 3, 2024 and that decision is currently on appeal.
You must disclose all Beneficial Owners
The BOI Report requires you to disclose all Beneficial Owners, including any legal owners with 25% or more equity, senior officers like the CEO, COO, and CFO, and others with substantial control. There are now ten categories of Beneficial Owners and five exceptions!
FinCEN cannot enforce penalties unless injunction is lifted
While the injunction is in place, FinCEN cannot enforce penalties. But under the CTA, if you willfully fail to file on time, you'll face potential civil penalties of $591 per day and criminal penalties of up to $10k and two years in prison!
FinCEN cannot enforce deadlines unless the injunction is lifted
Under the CTA, reporting companies that were already in existence on January 1, 2024 have until December 31, 2024 to file a BOI Report. New entities formed in 2024 only have 90 days after formation to file. In 2025, new entities will have 30 days after formation to file a BOI Report. But FinCEN cannot enforce those deadlines while the preliminary injunction is in place.
This is the biggest change in business law in decades.
