On December 3, 2024, a federal district court judge issued a preliminary injunction blocking enforcement of the Corporate Transparency Act.
But on December 23, 2024, the Fifth Circuit Court of Appeals issued an emergency stay, which effectively reinstated the original filing deadlines.
Later that same day, FinCEN issued brief extensions of the filing deadlines. Most BOI Reports are now due on or before January 13, 2025.
On December 26, 2025, a different Fifth Circuit panel vacated the December 23 decision--effectively reinstating the nationwide preliminary injunction.
Until further notice or further legal decisions, FinCEN is once again blocked from enforcing the Corporate Transparency Act and filing a BOI Report is once again voluntary.
